NDA

Despite the situations, described below in Item 4 of the Agreement, the Parties agree to treat Proprietary Information confidential and handle it with the same care as its own confidential information

HEREWITH under the confidential information for the purposes of the Treaty specified and understood documented information (document), that is fixed on paper, electronic and other media with the details that point to its confidentiality, as well as any information that was known of the Parties in the execution of the contractual relationship between them, including information which is obtained orally held at the respective negotiations between the authorized representatives of the Parties. Encryption system “RMX” and “RMZ”.Confidential information includes trade secret, the information of professional, business, production and other measures related to Party, the participants (founders), employees of Party, and any other information that is marked "confidential" or at transferring which the Party, transmitting such information, directly indicated on its confidentiality

 

 

The Parties shall, directly or indirectly, not disclose and divulge received Proprietary Information to any third party (a legal person, firm, corporation, association, the relevant authority, individual, official, employee, etc.) unless specified in this Agreement.

 

 

Without the prior written consent of the disclosing Party this information won’t be used differently than described in the declarative part of the Agreement and in accordance with the current legislation of Ukraine.

Proprietary Information may be disclosed only to those employees (officers) of receiving Party who reasonably and in accordance with relevant documents need access to this information for the purpose for which it was disclosed and are receiving Party to the obligation of confidentiality.

Any disclosure of Proprietary Information to a third party requires the written consent of both parties and under no circumstances take place before the third party the privacy of both parties of the Agreement.
